These Website and Account Terms apply to your use of the Grain Shift Audio website, account system, Grain Shift Audio Hub, license portal, downloads, support services, and related online services.

Grain Shift Audio is a New Zealand business registered with NZBN 9429053794673.

1. About these Terms

In these Terms, “Grain Shift Audio”, “GSA”, “we”, “us”, or “our” means Grain Shift Audio.

“Services” means the Grain Shift Audio website, account system, Grain Shift Audio Hub, license portal, license activation services, license refresh services, download services, support services, and related online services.

“Product” means any Grain Shift Audio software product, plugin, tool, license, update, documentation, runtime component, deployment component, or related service made available by Grain Shift Audio, including the specific product identified at checkout, in your account, in the Hub, or in your license record.

These Terms govern use of the Services. They do not replace the End User License Agreement or any product-specific license terms.

Your use of a Product is governed by the applicable End User License Agreement, the license type shown in your account or license record, and any product-specific terms presented at checkout or with the Product.

2. Eligibility and authority

You must be at least 18 years old to create an account, make a purchase, manage licenses, activate licenses, or accept these Terms on your own behalf.

If you are under 18, you may use the website or Products only with the permission and supervision of a parent or legal guardian, and that parent or guardian is responsible for your use.

If you create an account, make a purchase, manage licenses, manage a business, approve activation requests, or use the Services on behalf of a business, studio, employer, school, team, or other organisation, you confirm that you have authority to do so.

3. Accounts

An account is tied to a single email address.

Your account is used to sign in to the website and the Grain Shift Audio Hub. It lets you view licenses, seats, activation requests, business memberships, and related information that are available to you.

An account can hold any number of individual licenses or business seats. For example, one account could own an Indie License and also use a Business License seat from a company.

You must provide accurate account information and keep it reasonably up to date.

You are responsible for keeping your login details secure. You must not share your account login details with anyone else.

You are responsible for activity that occurs through your account unless caused by Grain Shift Audio’s breach of these Terms or applicable law.

4. Licenses, seats, activations, refreshes, deactivations, and transfers

A license gives access to a Product and the platforms included with that purchase. Licenses may be owned by an individual account or by a business.

A seat allows one machine to use a license. A seat is tied to a single machine once activated. If the license needs to move to a different machine later, this may count as a transfer.

Activation connects a license seat to the current machine. Activations are performed in the Grain Shift Audio Hub.

A refresh renews the local license on an already activated machine. Refreshes happen automatically every 30 days. The seat holder can also manually refresh from the Grain Shift Audio Hub.

Deactivation prevents a machine from receiving future refreshes. Deactivation does not necessarily remove an existing local license immediately. The local license may continue to work until its current refresh period expires.

A transfer happens when a seat is moved from one machine to a different machine after the previous activation has been deactivated. A transfer is not used for the first activation of a seat.

A transfer is not used when the same account reactivates the same machine under the allowed reactivation rules described in the End User License Agreement and the applicable license record.

5. Indie Licenses

An Indie License is tied to the purchaser’s account.

Unless your license record states otherwise, an Indie License includes one seat, one included transfer, and the platforms included with the purchase.

The Indie License holder manages their own seat.

On the website account page, an Indie License holder may be able to view their license, view the available platforms, view their activated machine, view seat status, deactivate their seat, and see whether their included transfer is still available.

In the Grain Shift Audio Hub, an Indie License holder may be able to activate the current machine, refresh the current machine, view license status for the current machine, and view the platforms included with the license.

The first activation of an Indie License does not use a transfer. Reactivating the same account on the same machine does not use a transfer, even if the seat was previously deactivated.

If an Indie License is moved to a different machine after the included transfer has already been used, an additional transfer or reset purchase may be required.

6. Business accounts, members, and roles

A Business License is owned by a business, not by an individual person.

A business account may have people added to it as Owners, Admins, or Members. Business membership is separate from license seats. A person can belong to a business without currently using a seat, and seats are assigned only when a Product is activated on a machine.

“Owner” means a business-account role with full control of the business account inside the Grain Shift Audio Services. It does not necessarily mean the person is the legal owner of the business, company, organisation, or license.

Owners can manage members, change roles, remove members, edit the business name, approve activation requests, deactivate seats, manage business licenses, purchase business licenses and add-ons, and purchase additional transfer credits.

Owners cannot remove themselves. A business must always have at least one Owner.

Admins help manage day-to-day license use. Admins can approve activation requests, decline activation requests, deactivate seats, and manage normal Members as made available in the Services.

Admins cannot edit the business name, remove people from the business, change anything about an Owner, promote anyone to Owner, or change their own role.

Members are regular business users. A Member is the same as a Business Employee for seat-use purposes.

Members can only see and refresh their own approved seat. Members cannot see other employees’ seats, manage licenses, approve activation requests, deactivate seats, manage transfers, add admins, edit business details, or change business settings.

Grain Shift Audio may treat actions taken by an Owner or Admin as authorised by the relevant business, subject to the permissions available to that role in the Services.

7. Business Licenses, seats, and activation requests

Unless your license record states otherwise, a fresh Business License includes three seats, three pooled transfer credits, and the platforms included with the purchase.

Business transfer credits are shared across the business. They are not tied to a specific seat. A transfer credit is used when a seat is approved for activation on a different machine after the previous activation has been deactivated, subject to the applicable reactivation rules.

If all transfer credits have been used, the business may need to purchase additional transfer credits before approving a transfer.

To purchase a Business License, the purchaser must have permission to purchase for the relevant business. During checkout, the purchaser may be asked to choose which business the license is for. If the account does not have a business yet, the purchaser may be able to create one before checkout.

When a non-admin enters a Business License key in the Hub, an activation request may be created. If the requester is not already part of the business, approving the request may add them to the business as a Member and activate their machine into the first available seat.

Employees do not choose the seat slot. If no seat is available, an existing seat must be deactivated before another machine can be activated.

The member list does not directly control seat allocation. The member list answers who belongs to the business and what they are allowed to manage. The seat list answers which machines are currently using the business license.

Removing someone from the business or changing their role does not automatically move, transfer, or deactivate seats unless a seat is specifically deactivated by someone with permission.

8. Purchases and FastSpring

Purchases are processed by FastSpring, acting as Merchant of Record for the payment transaction.

FastSpring may handle checkout, payment processing, taxes, invoicing, receipts, fraud prevention, payment disputes, and payment-related transaction terms.

Grain Shift Audio provides the Products, accounts, license records, downloads, activation services, refresh services, documentation, and product support.

If there is a conflict between these Terms and FastSpring’s checkout or payment terms about the payment transaction, FastSpring’s terms apply to the payment transaction.

If there is a conflict between these Terms and the applicable End User License Agreement about use of a Product, the End User License Agreement applies to use of the Product.

Refunds are handled under Grain Shift Audio’s Refund Policy and any mandatory rights that apply by law.

9. Downloads and access

Grain Shift Audio may provide downloads through the website, account page, download links, cloud storage, the Grain Shift Audio Hub, or another delivery method.

You are responsible for downloading and storing any files you need for your own records, subject to the applicable license terms.

We may update, replace, remove, reorganise, or stop providing particular download links, file versions, trial builds, documentation, or Services from time to time.

We will use reasonable efforts to keep account, download, activation, refresh, and license services available, but we do not guarantee uninterrupted or permanent availability.

10. Acceptable use

You must not misuse the Services.

You must not:

  • attempt to access accounts, systems, data, licenses, seats, activation requests, downloads, or services without permission;

  • interfere with the security, availability, or operation of the Services;

  • bypass checkout, account, activation, refresh, transfer, seat, license, platform, or access-control systems;

  • use false, misleading, stolen, or unauthorised account, business, license, transfer, or payment information;

  • scrape, copy, overload, attack, reverse engineer, or probe the Services except as permitted by law;

  • use the Services to distribute malware, spam, abusive content, or unlawful material;

  • impersonate another person, business, or organisation;

  • use the Services in a way that infringes another person’s rights; or

  • help anyone else do any of the above.

11. Support

Grain Shift Audio provides support by email at support@grainshiftaudio.com.

Support is provided on a reasonable-efforts basis. We do not guarantee a response time, fix time, compatibility outcome, or specific support result unless we expressly agree otherwise in writing.

We may ask you to provide reasonable information to help diagnose an issue, such as product name, license type, operating system, middleware version, error messages, logs, activation status, refresh status, machine details, and steps to reproduce the problem.

12. Information you provide to us

You may provide information to us through accounts, business profiles, member management, license activation, refresh, checkout-related flows, support emails, contact forms, or other communications.

You must not submit information that you do not have the right to provide.

You retain ownership of materials you provide to us. However, you give Grain Shift Audio permission to use information and materials you provide as reasonably necessary to operate the Services, provide support, manage accounts and licenses, manage businesses, process activation requests, investigate issues, improve Products and Services, comply with law, and enforce our rights.

Our handling of personal information is described in our Privacy Policy.

13. Intellectual property

The Services, Products, website content, software, documentation, branding, logos, graphics, text, audio examples, interfaces, and other materials provided by Grain Shift Audio are owned by Grain Shift Audio or its licensors.

Except as expressly allowed by these Terms, the applicable End User License Agreement, or applicable law, you must not copy, modify, distribute, sell, rent, sublicense, publish, or exploit Grain Shift Audio materials without permission.

Nothing in these Terms transfers ownership of Grain Shift Audio intellectual property to you.

14. Third-party services and links

The Services may use or link to third-party services, including payment processors, authentication providers, hosting providers, cloud infrastructure, analytics, security tools, support tools, middleware providers, or other external services.

Third-party services may have their own terms and privacy notices. Grain Shift Audio is not responsible for third-party websites, services, policies, or content except where required by law.

15. Changes to Products, Services, and pricing

We may change, improve, discontinue, rename, repackage, or replace Products, Services, features, documentation, license options, pricing, transfer options, or availability from time to time.

Any changes to your existing license rights will be handled under the applicable End User License Agreement, license record, order terms, and mandatory legal rights.

16. Suspension or termination

We may suspend or restrict access to an account, license service, download, business profile, business role, activation, refresh, transfer, or other Service if we reasonably believe that:

  • these Terms have been breached;

  • the applicable End User License Agreement has been breached;

  • account access is unauthorised or insecure;

  • a payment is fraudulent, reversed, charged back, or disputed;

  • a license, seat, activation, refresh, transfer, download, or business role is being misused;

  • continued access may harm Grain Shift Audio, another user, a third-party service, or the security or availability of the Services; or

  • we are required to do so by law or by a relevant service provider.

Where reasonable, we will try to give notice or an opportunity to resolve the issue. However, we may act immediately where needed for security, fraud prevention, legal compliance, or protection of the Services.

17. Account deletion

You may request account deletion by emailing support@grainshiftaudio.com.

Deleting an account may affect access to downloads, license records, activation services, refresh services, support history, business profiles, business memberships, roles, seats, and related Services.

We may retain records where reasonably required for legal, tax, accounting, fraud prevention, security, dispute resolution, support, license enforcement, backup, or legitimate business purposes.

Personal information handling is described in our Privacy Policy.

18. Disclaimers

The Services are provided on an “as available” basis.

We aim to provide accurate information, reliable downloads, and functional account and license services. However, we do not guarantee that the Services will always be uninterrupted, error-free, secure, compatible with every system, or available at all times.

You are responsible for maintaining your own project files, backups, development environment, middleware installation, build systems, and production workflow.

Nothing in these Terms excludes, restricts, or modifies any right, guarantee, warranty, or remedy that cannot lawfully be excluded, restricted, or modified.

19. Liability

To the maximum extent permitted by law, Grain Shift Audio is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, loss of profit, loss of revenue, loss of data, loss of goodwill, business interruption, production delay, platform rejection, publishing delay, or loss arising from your use of or inability to use the Services.

To the maximum extent permitted by law, Grain Shift Audio’s total liability arising from or relating to the Services is limited to the amount you paid for the relevant Product or Service giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

20. Mandatory rights

Nothing in these Terms excludes, restricts, or modifies any consumer rights, statutory guarantees, refund rights, privacy rights, or other legal rights that cannot lawfully be excluded, restricted, or modified.

Where you use the Services or Products for business or commercial purposes, some consumer guarantees may not apply or may be excluded to the maximum extent permitted by law.

21. Changes to these Terms

We may update these Terms from time to time.

The updated version will apply from the date it is posted on the Grain Shift Audio website or otherwise made available.

If a change materially affects existing account or license access, we will take reasonable steps to notify affected users where practical.

Your continued use of the Services after updated Terms are posted means you accept the updated Terms, except where a different process is required by law.

22. Governing law

These Terms are governed by the laws of New Zealand.

The courts of New Zealand have non-exclusive jurisdiction over disputes relating to these Terms.

Nothing in this section limits any rights you may have under laws that cannot lawfully be excluded or limited.
